John is a long-standing member of the Corporate Law Department.  His depth of knowledge and ability to synthesize and analyze complex matters has been invaluable to his clients and to the other attorneys in the firm.  John is a strong corporate "generalist."  He spends much of his practice counseling clients in a wide range of issues and transactions that arise on a regular basis in the business world, including employment issues and real estate transactions.  He particularly enjoys counseling and advising entrepreneurs.  He has extensive experience with corporate reorganizations, mergers, and acquisitions.

John is also a knowledgeable and practical securities lawyer.  He has served as lead counsel in matters such as initial public offerings and tender offers, including a successful acquisition of a public company by a private company via a $295,000,000 tender offer.  He has guided clients through numerous private securities offerings and he is well versed in state and federal securities laws and regulations.

John has also represented banks, bank holding companies, and other financial institutions in various matters ranging from acquisitions of other financial institutions, regulatory compliance issues, and commercial lending.  His practice includes negotiating and drafting contracts on behalf of both lenders and borrowers, including financing and restructuring transactions.

John was admitted to the Ohio bar in 1988.  He received his B.A. from Duke University in 1979 and his J.D. in 1988 from the University of Cincinnati, where he was a member of the University of Cincinnati Law Review.  He is a member of the Dayton, Ohio State, Butler County, and American Bar Associations. 

Away from the office, John pursues his enthusiasm for enhancing educational opportunities for young students.  He has served as past President of the education commission of a parochial elementary school.  As a former college football player, he remains passionate about excellence in academics and athletics.
