| Dianne Marx Appointed to the Montgomery County Public Defender Commission |
The Montgomery County Commission has appointed Dianne Marx to a four year term on the Public Defender Commission. The Commission is comprised of five members, three appointed by the County Commission and two by the Presiding Judge of the Common Pleas Court. Penny Wolff, the firm's administrator, is also a member in her second and final four year term and serves as the current Chair.
The Public Defender Commission operates under the Ohio Revised Code and is responsible for all operations of the Public Defender's office, including the hiring/firing of the Public Defender and recommending the annual budget to the County Commissioners. |

| Dianne Marx Named Shareholder |
Sebaly Shillito + Dyer is pleased to announce that Dianne Marx has been named a shareholder of the firm, as of January 2008.
Dianne joined SS+D’s Litigation Department in September of 2005. With over 25 years’ experience representing publicly-traded companies, as well as individuals and family-owned businesses, Dianne has participated in some 20 jury trials of civil matters in both Federal and State Courts. Her practice is focused on disputes involving wills and trusts on behalf of families and fiduciaries, trade secret litigation, fraudulent transfers, insurance coverage disputes, intentional tort and discrimination claims, and bond claims of sureties. Dianne chairs the Probate Litigation Practice Group at SS+D. As Past President of the Dayton Bar Association and Dayton Bar Foundation, Dianne is actively involved in the legal community and the larger community at large. Dianne received her undergraduate degree, magna cum laude, from Miami University in Oxford, Ohio in 1979, graduating Phi Beta Kappa, and her J.D. in 1982 from the University of Notre Dame School of Law where she was a Thomas J. and Alberta White Scholar on Law and Public Policy. She is admitted to practice before all state courts in Ohio, as well as the U.S. District Court for the Southern District of Ohio and the U.S. Court of Appeals for the Sixth Circuit. In addition to being a member of the Dayton Bar Association, Dianne is also a member of the Ohio State Bar Association (Probate and Litigation Sections), American Bar Association, Litigation Section and Tort Trial and Insurance Practice Section; American Bar Association Foundation; and Ohio Association of Civil Trial Attorneys, and serves as a volunteer mediator for both State and Federal Courts. | Bev Shillito Receives Community Leader Award |
SS+D shareholder and community leader, Beverly “Bev” Shillito, was honored on Friday, January 18, at the Dayton Development Coalition’s Annual Meeting held at the United States Air Force Museum. The Coalition awarded Bev with its Regional Volunteer of the Year Award in recognition of her efforts of working with community, business and government leaders to strengthen and grow the Dayton Region. Bev is the third recipient of the award which has previously been given to General John Nowak and Dr. Dan Curran, President of the University of Dayton.
Bev’s contributions to the work of the Dayton Development Coalition include targeting key industries for growth, economic development on a regional basis, spearheading committees for special events and community causes, and much more. JP Nauseef, president and CEO of the Dayton Development Coalition, commented when presenting the award that, “When you have a problem, Bev is the one to call. She is that remarkable combination of advisor, friend and community advocate.” JP also pinpointed what makes Bev so special to the community at large – “She is a fair dealer - an honest broker- someone who is always trying to do the right thing for the right reasons.”
Bev’s background includes being a co-founder of the law firm of Sebaly Shillito + Dyer. She has over 30 years of experience counseling clients regarding corporate strategy and legal matters. Bev’s practice includes corporate law and governance, mergers and acquisitions, securities law, technology law and health care law.
She also has entrepreneurial roots. She and her husband founded Eagle Registrations Inc. as well as other business ventures. Her roles are diverse – from serving as general counsel, chief strategist and fund raiser, to operations, product development and marketing. Bev supports the entrepreneurial spirit and volunteers with numerous organizations to make it easier for businesses to start, grow and thrive in the Miami Valley.

| Defense Contractor Awarded $23 Million in Lawsuit |
A jury awarded $17 million in punitive damages and almost $6 million in compensatory damages, to a Riverside [Ohio]-based defense contractor, Innovative Technologies Corp., that accused three former employees of taking its confidential and trade secret information when the three set up their own company. ITC lost one of its largest contracts in 2001 after the trio defected, said SS+D attorneys for the plaintiff, Mike Moloney and Jim Dyer.

Marty Beyer, shareholder and chair of the Oakwood Rotary Club's 32nd Annual Run announced the results of That Day in May's 10K Run that took place Saturday, May 19. In announcing the results Marty commented that the registration was beyond original projections and that 212 runners participated. | Toby Henderson Named Superachiever Under 40 |
The Dayton Business Journal has selected Toby Henderson, shareholder, as a Superachiever Under 40 for 2007. Toby concentrates his practice in the area of complex business litigation. He also takes pro-bono assignments from the Public Defender's office to stay connected with the courts and to represent those who might not otherwise have a criminal defense attorney.
Toby's involvement in the community includes serving on the Associate Board of the Dayton Art Institute and being an active new member in the Dayton Tool and Manufacturing Association. He is also a member of the Association of Trial Lawyers of America and the Ohio Academy of Trial Lawyers.

| Two Associate Attorneys and Two Returning Summer Law Associates Join SS+D |
SS+D is pleased to announce that Mike Hall and Eric Young have joined the firm as Associate Attorneys and former summer law associates Drew Fuller and Doug Saphire have rejoined as Associate Attorneys after successfully passing the Ohio bar exam. The firm takes pride in the quality of its employees, lawyers and non-lawyers alike.
Mike Hall joined the firm's Corporate Department in June 2006 where his areas of focus are business formation, negotiating and drafting contracts, and corporate transactions. Prior to joining the firm, Mike practiced with a large regional firm in Cleveland where, along with his corporate practice, he focused on commercial real estate transactions.
Eric Young joined SS+D's Litigation Department in August 2006 and concentrates his practice on Business and Commercial Litigation. Prior to joining the firm, Eric served two years as law clerk for the Honorable S. Arthur Spiegel, United States Senior District Court Judge for the Southern District of Ohio. Eric has a Masters in Library Science and managed the Salmon P. Chase College of Law, Northern Kentucky University, Information Technology Department during which time he presented at various national conferences on information technology and its interplay with the law and legal education. He has taught previously and continues to teach at the Salmon P. Chase College of Law as an adjunct professor.

| Twenty Years of Relationships That Count |
For over twenty years Sebaly Shillito + Dyer has been building relationships with our clients and the community, and without them we would not be where we are today - celebrating our 20th Anniversary this past May with a wonderful family and client celebration at the Boonshoft Museum of Discovery.
In the spring of 1986 an idea became real when Jon Sebaly, Bev Shillito and Jim Dyer took their first steps by establishing their new firm on May 27 and moving into their "offices" over that Memorial Day Weekend. "It was totally unfinished . . . a phone wire coming out of the ceiling," states Jon. "We would have to stand in line to use the phone," adds Bev. "The phone wire never got to me as much as that they were literally building the walls around us," says Jim.
"Over time, and over the first three or four years of the firm, I think we had some really great cases that contributed to both our reputations and to developing the confidence level that all of us had that we were going to be able to perform at a high level," Jim observes.
And still -- as the firm grows larger, the culture of the first days remains. Rules kept to a minimum - client needs first.
In the two decades following the first days of Sebaly Shillito + Dyer, many things have changed in Dayton and the region. The needs of SS+D's business clients have changed, as well.
"The real objective of a law firm is to bring people in so you can solve their problems. But then turn the relationship in a way so you can help them predict their problem," comments Bev.
"I am proud, I am very proud of this organization and I see no reason not to continue to. As long as we keep service ahead of making money we are okay," Jon concludes.

In recognition of Paralegal Day in Ohio the Sinclair Community College Paralegal Day Committee honored Sebaly Shillito + Dyer as the law firm in the community which has made the best utilization of its paralegals.
In accepting the award, Bev Shillito stated that the firm's culture supports a collaborative approach with its paralegals and recognizes that "we are a community of professionals made up of persons with and without law degrees."
This culture empowers paralegals to intiate action plans in the delivering of legal services and to work together with the attorney as a team. "We also use the skills of paralegals in non-traditional roles, as well," Bev stated. These roles include paralegal management and training, firm marketing, docketing, and a new paralegal position created for litigation technology support. |

Jessica L.S. Kimes, concentrating in Commercial and Business Litigation, has joined the firm as an associate in the Litigation Practice Group. After serving as a judicial law clerk to two trial court judges in West Virginia, Jessica developed courtrooom experience by serving as an Assistant Proscecuting Attorney in Wood County, West Virginia. | SS+D Receives $10,000 HP Legal Technology Award |
Sebaly Shillito + Dyer recently received 1st prize for Excellence and a $10,000 store award in an HP Legal Technology Awards contest for legal industry professionals. IT Manager, Brian Clayton, and Network Systems Administrator, Daniel Williams, traveled to New York City at the end of January to receive the award.

Robert G. Hansmen and Toby K. Henderson became Sebaly Shillito + Dyer's most recent Shareholders on January 1, 2006.
Bob joined the firm in January 2001 and concentrates his practice in Commercial Litigation and Government Contracts. Prior to joining SS+D, Bob served as a military officer and Judge Advocate General (JAG) where he represented the Air Force during court martial trials and before administrative tribunals, including the Armed Services Board of Contract Appeals (ASBCA), the Equal Employment Opportunity Commission (EEOC) and the Merit Systems Protection Board (MSPB).
Toby joined the firm in May 2000 and concentrates his practice in Business and Commercial Litigation, Health Care Law, Construction Law, Labor and Employment Law, and Insurance Policy Holder Rights. Prior to joining SS+D, Toby served as a Law Clerk in the Third Appellate District of the Court of Appeals of Ohio. |

Bev Shillito, was one of several state and local women business leaders invited to address the WEDO forum in Dayton on Wednesday, October 26, on topics ranging from business plan development, financing & marketing to networking & certification as a women's business enterprise (WBE).
WEDO is a coalition of partners working in collaboration to provide focused resources that have a direct impact on women-owned businesses and their opportunity for expansion. This year the WEDO Tour visited Akron/Cleveland, Cincinnati, Columbus, Toledo and, for the first time, Dayton.

The panelists discussed, in detail, how to assemble and analyze the information necessary for presenting and proving a construction claim. The theoretical underpinnings of construction claims will be examined, and the panelists will discuss the effective use of experts to prepare persuasive claims presentations. The panelists also discussed the various forums in which construction claims may be presented, including traditional trial court presentations, arbitrations and mediations. |

| YWCA Woman of Influence - Penny Wolff |
Penny Wolff, the firm's administrator, was chosen as one of seven Women of Influence for 2005 by the YWCA. Penny was nominated by Beverly Shillito, shareholder, and selected from over three dozen other nominees. The honorees are women in our community "who have made a positive influence on the lives of others, as part of their careers, as volunteers, as role models and as mentors." A Recognition Luncheon was held on March 3, 2005, at the Dayton Convention Center, over 900 people attended. It is the YWCA's largest fundraising event annually.
In her capacity as President of the Dayton Chapter of the Association of Legal Administrators, Penny has worked on behalf of the YWCA. Most recently members of the chapter from the various law firms redecorated a room at the YWCA's Domestic Violence Center. |

Letter to Clients and Friends from Karl R. Ulrich Re: Cleveland Bar Association v. CompManagement, Inc.
As you are likely aware, there is a controversy pending in the Ohio Supreme Court regarding the role of non-lawyer third-party administrators ("TPAs") in representing employers in workers’ compensation claims. Because of a recommendation from an Advisory Board that these TPAs are engaging in the unauthorized practice of law, the future role of traditional non-lawyer TPAs is in question. The Ohio Supreme Court is currently reviewing the issue to determine whether or not licensed attorneys are necessary to recommend claim strategy, file documents with the Industrial Commission, represent employers at hearings, question witnesses, and make recommendations regarding appeal of hearing officer decisions. |

The Fair Labor Standards Act (the "FLSA") requires that all employers pay minimum wage of $5.15 an hour for all hours worked in excess of 40 in a work week. However, the concept of "working time" also includes some special circumstances which might not ordinarily, from an employer's viewpoint, be considered productive time. | Ohio Carrying a Concealed Weapon |
Ohio's Carrying a Concealed Weapon Law was effective 4/01/04. You are likely interested in prohibiting conealed weapons from entering your work place. The Ohio Revised Code provides that private employers may prohibit concealed weapons from entering their premises if you post a sign in a conspicuous location stating that such weapons are prohibitied fom entering your premises. The Ohio Attorney General posted a sign on its website which is available to download and print for posting at your place of employment. Click here to download the file.
